FULL TERMS & CONDITIONS

These Terms govern all services provided by Red Grammar English Language Academy (“Centre”). By enrolling a student, the Parent/Legal Guardian (“Parent”) agrees to these Terms.
1) Definitions
1.1 “Student” = enrolled child.
1.2 “Parent” = parent/legal guardian who signs, pays, and communicates with the Centre.
1.3 “Level” = course level assigned by the Centre.
1.4 “Replacement Credits” = make-up entitlement within a Level (Clause 6).
1.5 “Registration” = registration fee and registration-related entitlements (including future-level reservation/registration payments).
2) Nature of Service (No Guarantee)
2.1 The Centre is a private English language centre, not a school syllabus provider.
2.2 The Centre does not guarantee any grades, scores, outcomes, or results within a fixed timeframe.
2.3 Progress depends on factors including attendance, effort, practice, confidence, attitude, and home support.
3) Assessment and Placement
3.1 Assessment is for placement and learning needs only; it is not a scored exam.
3.2 Placement and recommendations are professional opinions based on available information and classroom observation.
3.3 The Parent remains responsible for final enrollment decisions.
4) Customised Teaching and Pace
4.1 Teaching is customised; a Level may take fewer or more lessons than any estimate.
4.2 Any recommendation to extend, repeat, accelerate, or adjust learning is based on academic needs and does not guarantee outcomes.
5) Fees, Price Changes, and Programme Updates
5.1 Enrollment is confirmed upon successful payment.
5.2 Course/program/registration fees, packages, and offerings may change from time to time with or without notice, subject to applicable law.
5.3 The Parent must check with the Centre for the latest fees, programme details, and policy updates.
6) Replacement Credits (Make-Up Entitlement)
6.1 Each Student is entitled to ten (10) Replacement Credits per Level only.
6.2 Credits are Level-specific, non-transferable, non-refundable, non-accumulative, and expire when the Student completes/moves Level.
6.3 If the Parent begins with a smaller package and upgrades within the same Level, credits already used are deducted from the 10.
7) Attendance, Cancellation, Late Arrival, and Make-Ups
7.1 Parents should inform absences as early as possible. No-shows/late cancellations may be treated as absence (Centre policy).
7.2 Make-ups are subject to teacher availability, seat availability, timetable, and academic suitability. Preferred slots are not guaranteed.
7.3 Late arrival does not extend class time and does not create extra make-up rights.
8) Temporary Stop (Seat Release)
8.1 Temporary stop is not automatic and is subject to Centre approval.
8.2 If approved, the Student’s seat/timeslot may be released to others.
8.3 To resume, the Parent must inform the return date in advance. The previous timeslot is not guaranteed unless confirmed by the Centre.
9) Validity, Expiry, Forfeiture, and Re-Registration (18 Months)
9.1 All lesson packages and all Registration payments/entitlements (including registration for a next Level) are valid for eighteen (18) months from the Centre’s recorded start date.
9.2 Non-attendance does not pause validity unless the Centre confirms otherwise in writing.
9.3 Any unused lessons/Registration entitlements after 18 months expire and are forfeited (no refund, replacement, or conversion).
9.4 Returning after 18 months (including resuming a previously registered next Level) requires re-registration and payment of the prevailing registration fee, as determined by the Centre.
9.5 Extensions are exceptional. Parent must notify in advance and obtain approval (message, call/voicemail, or face-to-face). Supporting documents may be required. Approval is at the Centre’s discretion.
9.6 These rules support continuity, class planning, and teaching quality.
10) No Refund and No Transfer
10.1 All fees are non-refundable, including withdrawal, relocation, timetable preference, loss of interest, or non-attendance, except where required by law.
10.2 Lessons/Registration entitlements are tied to the Student only and cannot be transferred to siblings/friends/third parties.
11) Operational Changes and Branch Transfer
11.1 The Centre may change teachers, classrooms, schedules, policies, class arrangements, and mode (physical/online) for operational reasons with or without notice.
11.2 Branch transfer may be applied for and is subject to approval and capacity.
11.3 Transfer requests must be made at least one (1) month in advance for transition planning. Approval is not guaranteed.
12) Cambridge Exam Arrangements (If Applicable)
12.1 Exam mode/session availability depends on the Centre, preparation provider, and exam centre arrangements.
12.2 Exam seats/slots are not guaranteed immediately upon course completion.
12.3 If no exam session near course end, Student may be arranged to the next available session.
12.4 Student may progress to the next Level if supported by placement test and teacher evaluation.
12.5 Exam fees are usually third-party fees and may be non-refundable once submitted/confirmed. Refund/deferral follows exam body policy. Re-registration requires the latest prevailing exam fee.
13) Health, Special Needs, and Disclosure Duty
13.1 Parent must disclose in advance any medical conditions, allergies, learning difficulties, behavioural concerns, sensory sensitivities, special needs, or relevant history.
13.2 Any issues arising from non-disclosure/incomplete disclosure are the Parent’s responsibility.
13.3 The Centre provides education services only and is not a medical/psychological/speech therapy/special education clinic.
13.4 Teachers/PIC may share observations and suggest professional evaluation. Observations are not a diagnosis or confirmation, and are made to support the Student.
14) Safety, Toilet Independence, Posted Rules, and Emergencies
14.1 Student is assumed toilet-independent. Staff may provide reasonable assistance but do not provide personal caregiving.
14.2 Rules/guidance posted in toilets and premises must be read and followed by Parent/Student.
14.3 In emergencies, the Centre may seek medical help and contact the Parent. Medical/transport costs are borne by the Parent.
14.4 To the maximum extent permitted by law, the Centre is not liable for injury/loss arising from Student actions, pre-existing conditions, normal child movement, or matters beyond reasonable control, except proven Centre negligence.
15) Student and Parent Conduct; Termination
15.1 The Centre may enforce classroom rules for safety and learning.
15.2 If Student disrupts/endangers/bullies/damages property, Centre may intervene, reassign, remove temporarily, or terminate services. A lesson may be counted as used where disruption is substantial.
15.3 Parent must communicate respectfully. Threats, harassment, or abusive conduct may result in refusal/termination of service.
16) Phonics/Pronunciation/Pre-Starters Disclaimer
16.1 Progress depends heavily on Student cooperation, attention, and ability to imitate mouth/tongue placement.
16.2 Irregular attendance, refusal to attempt, or low cooperation may significantly limit progress.
16.3 Centre does not provide speech therapy or medical diagnosis. External assessments (if any) are at Parent cost.
17) Illness Policy
17.1 Centre may refuse entry or require temporary suspension if Student shows symptoms of contagious illness.
17.2 Illness absence follows the same make-up rules unless Centre confirms an exception in writing.
18) Photos/Video/CCTV and Marketing Use (No Consent Required)
18.1 Centre may record photos/audio/video (including CCTV) for security, operations, training, documentation, and marketing.
18.2 Recording may include the Student as part of the learning environment; no prior consent/notice is required.
18.3 If Parent does not want public-facing marketing/publication use, Parent must notify in writing, in advance (before recording).
18.4 Requests are not retrospective. Materials captured before notice may continue to be used.
18.5 To the maximum extent permitted by law, Parent waives claims relating to recording and permitted use under this clause.
19) Parent Recording Prohibition
19.1 Parents may not record (audio/video/photo) within Centre premises or during classes without written Centre approval.
19.2 This protects student privacy, classroom safety, and Centre intellectual property.
20) Intellectual Property
20.1 All materials, worksheets, videos, methods, and teaching content are Centre intellectual property.
20.2 No copying, distributing, sharing, selling, or publishing any Centre materials/recordings, except personal home practice as expressly allowed.
21) Notices and Contact Details
21.1 Parent must keep phone/WhatsApp/email/address updated.
21.2 Notices sent to the last provided contact details are deemed received.
22) Complaints, Communication, and Dispute Handling
22.1 Parent agrees to raise concerns to the Centre first via official channels and allow reasonable time for investigation/response.
22.2 Where practical, issues should be raised within seven (7) days of occurrence.
22.3 Centre may require a meeting (online/face-to-face) before conclusions are made.
23) Public Statements and Defamation
23.1 Parent agrees not to publish false, misleading, or defamatory statements about the Centre, staff, students, or services.
23.2 Centre reserves rights to seek remedies for proven reputational harm, to the maximum extent permitted by law.
23.3 This does not prevent genuine concerns being raised under Clause 22.
24) Limitation of Liability
24.1 To the maximum extent permitted by law, total liability (if any) is limited to fees paid for the relevant package, excluding third-party fees.
24.2 No liability for indirect, consequential, or opportunity loss.
25) Indemnity
25.1 Parent indemnifies the Centre for losses arising from Parent breach, non-disclosure, misuse of Centre materials, or unauthorised recording, to the maximum extent permitted by law.
26) Force Majeure (Optional)
26.1 Centre is not liable for disruptions beyond reasonable control (e.g., government orders, pandemics, severe weather, power outages).
26.2 Where feasible, Centre may offer alternatives; this is not compulsory.
27) Updates, Severability, Governing Law
27.1 Centre may update these Terms at any time without notice. The latest version maintained by the Centre applies; Parent must check for updates. Continued attendance/use means acceptance.
27.2 If any clause is invalid, the remaining clauses remain enforceable.
27.3 Governed by the laws of Malaysia.
